Terms & conditions

These Terms and Conditions (hereinafter referred to as the “T&Cs “) apply for the use of Clio English and its content (hereinafter referred to as โ€œthe Serviceโ€). The Service is owned and provided by Clio ApS, Esplanaden 8A, 1stโ€“2nd floor, 1263 Copenhagen K, Denmark. In the T&Cs, the words โ€œClioโ€, โ€œusโ€ and “we” refer to Clio ApS. By registering as a user and by using the services, you accept being subject to the T&Cs. If you do not accept these T&Cs, you will not be able to use the Service. The Service is currently not available for users in the United States, and if you are a US citizen, you are unfortunately not able to use the Service.

2.1 In order to get access to and use the Service, you are required to create a personal user profile and register as a user. When you create a user profile, you must be at least 16 years old, and you are required to use a valid personal e-mail address and a personal password.

2.2ย Your user profile is personal, and you are not allowed to transfer the profile to others. You are responsible for any use of the Service through your user profile, and we encourage you to select a strong password. If your user profile is used in violation of these T&Cs, we reserve the right at any time and without notice to suspend or terminate your access to the Service.

3.1 The Service, including but not limited to intellectual property rights, the Clio trademark and logo, texts, music, videos, photos, illustrations and source code is the property of Clio and its licensors. Except for the limited use right as granted in section 3.2, Clio grants no right, title or interest to you in the Service.

3.2 Subject to your compliance with the T&Cs, we grant you a time-limited, nonexclusive and revocable right to use and access the Service for educational purposes. You promise and agree that you will use the Service for personal and noncommercial purposes only and that you will not redistribute, sublicense, transfer or otherwise make the Service available to others. For the avoidance of doubt, you are allowed to use the Service for classroom education and present the content for your students.

3.3 You are strictly prohibited from copying or reproducing the Service without prior acceptance from Clio. Unauthorised copying or other illegal use is a violation of the Danish and/or other legislations and may result in civil and criminal penalties.

4.1 The Service is provided โ€œas isโ€ and โ€œas availableโ€, and Clio makes no representations or warranties of any kind concerning the Service, whether express, implied, statutory, or other. This includes, without limitation, warranties of title, merchantability, quality, fitness for a particular purpose, noninfringement, availability, absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not known or discoverable. Furthermore, we do not represent or warrant that the Service is or will be free from errors, viruses, spyware, malware, adware, worms or other malicious code, or will function to meet your requirements. Where disclaimers of warranties are not allowed in full or in part, this disclaimer may not apply to you.

4.2ย Clio will in no event be liable to you on any legal theory (including, without limitation, negligence) or otherwise for any direct, special, indirect, incidental, consequential, punitive, exemplary, or other losses, costs, expenses, or damages arising out of the use of the Service. Where a limitation of liability is not allowed in full or in part, this limitation may not apply to you.

4.3ย You agree to indemnify and hold Clio harmless from and against all damages, losses, and expenses of any kind (including reasonable attorney fees and costs) arising out of or related to your failure to comply with the T&Cs and/or your violation of any law or the rights of a third party.

4.4ย The views and opinions expressed in the Service and in any content are those of the authors and do not necessarily reflect the official policy or position of Clio or any of its employees. The use of texts, articles, pictures, illustrations etc. are for illustration purposes only, and they are chosen solely on the basis of educational and/or didactic considerations.

5.1 The Service is currently available as a beta version, and is available to you until terminated by us or if you decide to delete your user profile.

5.2 We may terminate or suspend your right to access and use the Service at any time for any reason without notice and without liability. If we terminate your right to access and use the Service, or if you decide to delete your user profile, you will no longer be allowed to use and access the Service or any of its content.

When you create an account and use and access the Service, we will process personal information about you. If you do not accept that we process your personal data, you will unfortunately not be able to use and access the Service. Your use of the service will be subject to our privacy policy, and by accepting these T&Cs and using the Service, you confirm that you have read and accepted our privacy policy.

7.1 We may at any time and without notice amend, change or update the Service, these T&Cs and the privacy policy, and at our own discretion and without notice close, change, restrict or limit access to the Service. We will do our best to inform you about any changes to the T&Cs and the privacy policy, but you accept being covered by the most recently updated T&Cs and privacy policy. Your continued use of the Service after we have posted an amended version of the T&Cs is an acceptance of the amended version.

7.2 We reserve the right to change and introduce prices and fees at any time. We will notify you in advance if the regular rate of a subscription changes from what was stated at the time of your order. You will have the opportunity to accept the new price or cancel your subscription from that point forward.

7.3 From time to time, we may provide you with links to third-party websites or services that we do not own or control. Your use of the Service may also include the use of applications that are developed or owned by a third party. Your use of such third-party applications, websites, and services is governed by that party’s own terms of service or privacy policies. We encourage you to read the terms and conditions and the privacy policy of any third-party application, website or service that you visit or use.

7.4 If any provision of these T&Cs are held invalid or unenforceable for any reason or to any extent, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of the T&Cs, and the application of that provision shall be enforced to the extent permitted by law.

The T&Cs are subject to Danish law, and, unless otherwise stated, the general rules of Danish law apply in all relations between us, you and your use of the Service. Any disputes must be brought before the City Court of Copenhagen unless this violates the mandatory jurisdiction rules.
